Change in federal health policy is forcing new payment models that are driving consolidation of hospitals and other providers. This revolution is fueling mergers, acquisitions and other transactions, with purchasers acquiring sellers’ electronic health records systems. Traditionally, due diligence investigation of a target’s privacy/security compliance has been cursory. However, with the rise in ransomware and cybersecurity attacks, there is significant risk in acquiring and attempting to integrate potentially infected electronic systems. With heightened enforcement, there is significant risk in taking over operations of a provider that has not conducted a HIPAA security risk analysis or failed to identify/report data breaches. This presentation will explore the privacy and security threats that present the most peril in M&A transactions and why timing to address solutions is critical. It will also address risks that remain even under traditional liability-limiting deal structures, what to look for when evaluating a target’s privacy and security risks and how to be compliant on “Day 1” of operations.
